1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "user," or "client"), and Luminary Axis Management Consultancy, operated by Sumedh Marketing Ventures ("we," "our," or "us"), concerning your access to and use of our website at www.luminaryaxis.in as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

By accessing the Site or engaging our consulting services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and our services, and you must discontinue use immediately.

2. Services Provided

Luminary Axis provides management consultancy, marketing strategy, brand positioning, digital and market expansion, custom web development, workflow automation, and related business advisory services (collectively, "Services").

The specific scope, deliverables, timelines, and fees for any project or engagement will be defined in a separate written agreement (such as a Service Agreement, Statement of Work, or Proposal) signed or agreed to by both parties. In the event of a conflict between these Terms and a specific project agreement, the project agreement shall prevail.

3. User Representations & Conduct

By using the Site, you represent and warrant that:

• All information you submit to us via contact or consultation forms is true, accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update it as necessary.
• You have the legal capacity and authority to agree to these Terms.
• You will not use the Site or our Services for any illegal, unauthorised, or harmful purpose.
• Your use of the Site or Services will not violate any applicable law or regulation in India or your home jurisdiction.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to refuse or terminate your current or future use of the Site or Services.

4. Intellectual Property Rights

Unless otherwise indicated, the Site and all content therein — including source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and logos (collectively, the "Content") — are owned or controlled by us or licensed to us, and are protected by copyright, trademark, and other intellectual property laws in India and internationally.

Except as expressly provided in these Terms or in a separate written agreement, no part of the Site, the Content, or the Services may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever without our express prior written permission.

5. Confidentiality

We acknowledge that in the course of providing Services, we may have access to confidential, proprietary, or sensitive business information belonging to you. Likewise, you may have access to our proprietary methodologies, frameworks, templates, and materials.

Both parties agree to maintain the strict confidentiality of all such information and not to disclose it to any third party without the prior written consent of the disclosing party, except as required by law or to trusted subcontractors under similar confidentiality obligations.

6. Payment Terms

Fees for our Services will be agreed upon in writing prior to the commencement of any project. Payment schedules, invoicing cycles, and accepted payment methods will be defined in the project agreement.

Unless otherwise specified, all invoices are due within 15 days of issue. Delayed payments may result in the suspension of Services or a late payment charge as specified in the project agreement.

7. Limitation of Liability

To the maximum extent permitted by law, Luminary Axis, its operators (Sumedh Marketing Ventures), directors, employees, or agents will not be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages — including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or our Services, even if we have been advised of the possibility of such damages.

Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us for the Services during the three (3) month period prior to the cause of action arising.

8. Indemnification

You agree to defend, indemnify, and hold us harmless, including our operators, subsidiaries, affiliates, and all of our respective officers, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your use of the Site or Services; (2) a breach of these Terms; (3) any breach of your representations and warranties set forth in these Terms; or (4) your violation of the rights of a third party, including but not limited to intellectual property rights.

9. Governing Law & Dispute Resolution

These Terms and your use of the Site and Services are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any legal action or dispute arising out of or in connection with these Terms or our Services shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

10. Modifications & Interruptions

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Services without notice at any time.

We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site or Services.
